Terms of Service

Last updated October 12, 2026

These terms govern your use of DeltaLLM Cloud (the "Service"), a hosted AI gateway operated by DeltaLLM ("we", "us"). By creating an account or using the Service, you agree to these terms. If you use the Service on behalf of an organization, you agree on its behalf.

1. The Service

DeltaLLM Cloud gives you one API to send requests to large language models from third-party providers such as OpenAI, Anthropic and Google. It includes API key management, usage tracking and spend controls. You can use models we provide, or connect your own provider API keys ("BYOK").

Model outputs are generated by third-party providers. We do not control and are not responsible for their content, accuracy or availability, and your use of each model is also subject to that provider's terms and usage policies.

2. Accounts

You sign in with a Google account. You are responsible for activity under your account and your API keys, and for keeping them secure. Tell us promptly at [email protected] if you believe your account or a key has been compromised. You must be at least 18 years old to use the Service.

3. Credits, fees and payment

  • The Service is paid for with prepaid credits, bought as one-time purchases in US dollars. There are no subscriptions or recurring charges.
  • Each credit purchase carries a payment processing fee of 5.5% + $0.50, added on top of the credit amount you choose and shown at checkout before you pay.
  • The minimum top-up is $10. New accounts receive $1 of free trial credit, which has no cash value and cannot be refunded.
  • Usage of models we provide is charged at the published price of each model plus a 3% platform fee. Usage through your own provider keys is billed to you by your provider; we charge a 3% platform fee on the usage cost.
  • Charges are deducted from your credit balance as you use the Service. When your balance reaches zero, requests are refused until you top up.
  • We may change prices or the platform fee with at least 14 days' notice by email or on our website. Changes do not affect credits already used.
  • Credits are not transferable, have no cash value, and can only be used on the Service.

Payments are handled by a third-party payment processor, which processes your payment, issues your receipt, and collects any applicable sales tax or VAT. Refunds are covered by our Refund Policy.

4. Acceptable use

You agree not to use the Service to:

  • break any law, or infringe anyone's intellectual property, privacy or other rights;
  • generate or distribute content that sexualizes minors, promotes violence or terrorism, harasses others, or is otherwise unlawful;
  • create malware, conduct fraud, phishing or spam, or attack any system or network;
  • violate the usage policies of the model providers you access;
  • resell or provide the Service to third parties as a standalone gateway without our written permission;
  • probe, overload or interfere with the Service, or get around rate limits, spend limits or security controls.

We may suspend or close accounts that break these rules.

5. Your content

You keep all rights to the prompts you send and the outputs you receive. You give us permission to process them only as needed to run the Service, as described in our Privacy Policy. We do not use your content to train models.

6. Open source

The DeltaLLM gateway is open source under the MIT license. These terms cover the hosted Service only; the open-source software is governed by its own license.

7. Availability and changes

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may change or discontinue features. If we discontinue the Service, we will give at least 30 days' notice and refund any unused purchased credits.

8. Termination

You can stop using the Service and close your account at any time by emailing [email protected]. We may suspend or terminate your access if you breach these terms. Unused purchased credits are refunded on termination unless the account was terminated for a breach of these terms.

9. Disclaimers and liability

The Service is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law. To the extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect, incidental or consequential damages, or for lost profits or data.

10. Governing law

These terms are governed by the laws of France, and the courts of Paris have jurisdiction over any dispute. Nothing in these terms limits any rights you have under the consumer protection laws of your country of residence that cannot be waived.

11. Changes to these terms

We may update these terms. If a change is material, we will tell you by email or in the Service at least 14 days before it takes effect. Continuing to use the Service after that means you accept the updated terms.
